Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "User") and ProAthletIQ ("we", "us", "our"), the operator of the ProAthletIQ web application and website.

By accessing or using ProAthletIQ at app.proathletiq.com.au or proathletiq.com.au (collectively, the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

If you are using the Service on behalf of a club, organisation, or other entity, you represent that you have the authority to bind that entity to these Terms.

About ProAthletIQ

ProAthletIQ is an Australian-owned web application that provides performance tracking and analytics for amateur athletes. The Service allows users to record live match statistics, track performance trends over time, generate match reports, and — for coaches and team managers — view aggregated team performance data with athlete consent.

The Service is delivered as a Progressive Web App (PWA) accessible via web browsers on mobile and desktop devices.

Eligibility & Account Registration

Eligibility

Persons under 13 may use ProAthletIQ only through an account created and managed by a parent or legal guardian. The parent or guardian is responsible for all activity under that account and for ensuring compliance with these Terms.

Account Responsibilities

When you create an account, you agree to:

  1. provide accurate, current, and complete information during registration;
  2. maintain and promptly update your account information;
  3. keep your password secure and confidential;
  4. accept responsibility for all activity that occurs under your account; and
  5. notify us immediately at support@proathletiq.com.au if you suspect unauthorised access to your account.

We reserve the right to suspend or terminate any account that we reasonably believe has been compromised or is being used in violation of these Terms.

Use of the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial purposes — namely, tracking and reviewing athletic performance data for yourself, your children, or athletes who have consented to your access.

Coaches and team managers may use the Service for team management purposes within amateur sporting contexts, which we consider a permitted use under these Terms.

Acceptable Use Policy

You agree not to use the Service to:

  • violate any applicable Australian federal, state, or territory law, or any applicable international law;
  • infringe the rights of any third party, including intellectual property, privacy, or other personal rights;
  • upload, transmit, or store any content that is unlawful, defamatory, obscene, threatening, harassing, or otherwise objectionable;
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • attempt to gain unauthorised access to the Service, other user accounts, or any systems or networks connected to the Service;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service;
  • use automated tools, bots, scrapers, or similar technologies to access or collect data from the Service;
  • interfere with or disrupt the integrity or performance of the Service;
  • use the Service to collect, harvest, or aggregate personal information of other users without their consent;
  • use performance data obtained through the Service to publicly shame, bully, or discriminate against any athlete; or
  • use the Service for any commercial purpose not expressly authorised by us in writing.

We reserve the right to investigate and take appropriate action against any user who, in our sole discretion, violates this Acceptable Use Policy, including account suspension, termination, and referral to law enforcement where appropriate.

User Content & Data Ownership

You own your data. All performance statistics, match records, athlete profiles, and other content you create or upload to ProAthletIQ remain your property. We do not claim ownership of your content.

Licence to Operate

By using the Service, you grant us a limited, non-exclusive, royalty-free, worldwide licence to use, store, process, and display your content solely for the purpose of providing, maintaining, and improving the Service. This licence terminates when you delete your content or your account.

Data Export

You may export your match data and statistics at any time via the CSV export feature available within the application. We believe your data should be portable and accessible to you.

Aggregated & Anonymised Data

We may create aggregated, anonymised, or de-identified data derived from your use of the Service. Such data does not identify you personally and may be used by us for analytical, research, and product improvement purposes without restriction.

Data Sharing & Consent

ProAthletIQ is built on a principle of user-controlled data sharing. The following terms govern how performance data may be shared between users:

  1. Explicit consent required. No coach, team manager, or other user can view your performance data unless you have explicitly accepted their invitation to share. Sharing is never automatic.
  2. Scope of sharing. When you accept a team invitation, only your performance data for that specific team is shared. Data from other teams, sports, or private records is not accessible to the inviting party.
  3. Revocation at any time. You may revoke a coach or team manager's access to your data at any time from your account settings. Revocation takes effect immediately.
  4. Minors. For athletes under 18, the parent or guardian who manages the account is responsible for accepting, declining, or revoking data sharing invitations.
  5. Coach and team manager obligations. If you access another user's performance data as a coach or team manager, you agree to use that data solely for legitimate sporting and coaching purposes. You must not share, publish, or distribute an athlete's data outside the platform without their separate, explicit consent.

Intellectual Property

The Service — including its design, layout, graphics, logos, icons, images, text, software, and underlying code — is owned by ProAthletIQ or its licensors and is protected by Australian and international intellectual property laws, including the Copyright Act 1968 (Cth) and the Trade Marks Act 1995 (Cth).

The ProAthletIQ name, logo, and all related names, logos, product and service names, designs, and slogans are trade marks of ProAthletIQ. You must not use these marks without our prior written permission.

Nothing in these Terms grants you any right, title, or interest in or to the Service or its content, except for the limited licence to use the Service as described in Section 4.

Subscription Plans & Payments

Introductory Free Access

ProAthletIQ currently provides free access to core features, which may include unlimited players, unlimited matches, all sport templates, custom stat labels, carnival mode, match reports, and CSV export. No credit card is required to get started. Free access is provided at our discretion and is not guaranteed indefinitely. We reserve the right to introduce pricing for features that are currently free. Where we do so, we will provide at least 30 days' notice before any charges apply to features you are currently using for free.

Paid Plans

We may offer paid subscription plans (such as the Pro Coach plan) that provide access to additional features. When paid plans become available:

  1. Pricing, billing frequency, and included features will be clearly disclosed before you subscribe.
  2. All prices are displayed in Australian Dollars (AUD) and are inclusive of GST where applicable.
  3. You authorise us to charge the payment method you provide on a recurring basis according to the billing cycle you select.
  4. You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period — you will retain access to paid features until then.
  5. We do not offer refunds for partial billing periods unless required by Australian Consumer Law (see Section 15).

Price Changes

We may change our subscription pricing from time to time. We will provide you with at least 30 days' notice of any price increase. If you do not agree with a price change, you may cancel your subscription before the new price takes effect.

Service Availability & Offline Use

We strive to ensure the Service is available at all times but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our reasonable control.

Offline Functionality

ProAthletIQ is designed to operate offline. Statistics recorded without an internet connection are stored locally on your device and automatically sync to our servers when connectivity is restored. We are not responsible for data loss resulting from device failure, damage, or loss of the device before data has been synced.

Progressive Web App

The Service is delivered as a Progressive Web App. Its performance and functionality may vary across devices, operating systems, and browser versions. We optimise for modern, up-to-date browsers and cannot guarantee full functionality on outdated or unsupported platforms.

Third-Party Services

The Service may integrate with or contain links to third-party websites, applications, or services. These are provided for convenience only. We do not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party services.

Your interactions with third-party services are governed by their respective terms and policies. We encourage you to review those terms before engaging with any third-party service.

Disclaimers

Important: The disclaimers in this section are subject to the consumer guarantees under Australian Consumer Law. Nothing in these Terms excludes, restricts, or modifies rights that cannot be excluded under the Competition and Consumer Act 2010 (Cth).

To the maximum extent permitted by law:

  1. The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory.
  2. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.
  3. We do not warrant the accuracy, reliability, or completeness of any performance data, statistics, insights, or reports generated by the Service. The data entered is only as accurate as the input provided by the user.
  4. ProAthletIQ is a performance tracking tool and does not provide medical, physiological, coaching, or professional sporting advice. You should not rely solely on the Service for decisions relating to health, training, or athletic development.
  5. We do not guarantee that the Service will meet your specific requirements or expectations.

Limitation of Liability

To the maximum extent permitted by Australian law, and subject to Section 15 (Australian Consumer Law):

  1. ProAthletIQ, its directors, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Service.
  2. Our total aggregate liability to you for all claims arising from or related to the Service is limited to the greater of (i) the amount you have paid us in the 12 months preceding the claim, or (ii) AUD $100.
  3. We are not liable for any loss or damage arising from circumstances beyond our reasonable control, including but not limited to acts of God, internet or telecommunications failures, power outages, device failures, or third-party service disruptions.
  4. We are not liable for the accuracy of data entered by users, or for any decisions made based on performance statistics, insights, or reports generated by the Service.

Indemnification

You agree to indemnify, defend, and hold harmless ProAthletIQ, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  1. your use or misuse of the Service;
  2. your violation of these Terms;
  3. your violation of any applicable law or regulation;
  4. your violation of any rights of a third party, including other users; or
  5. any content you create, upload, or share through the Service.

This indemnification obligation survives the termination of your account and these Terms.

Australian Consumer Law

Your rights under Australian Consumer Law are not affected by these Terms.

Certain legislation, including the Competition and Consumer Act 2010 (Cth), Schedule 2 (Australian Consumer Law), provides consumer guarantees that cannot be excluded, restricted, or modified. Nothing in these Terms is intended to exclude, restrict, or modify those guarantees.

If the Service is subject to consumer guarantees under the Australian Consumer Law, our liability for failure to comply with a consumer guarantee is limited (where permitted by law) to:

  1. in the case of services — the supply of the services again, or the payment of the cost of having the services supplied again; and
  2. in the case of goods (if applicable) — the replacement of the goods or the supply of equivalent goods, the repair of the goods, or the payment of the cost of replacing or repairing the goods.

Termination

Termination by You

You may close your account and stop using the Service at any time by contacting us at support@proathletiq.com.au or through your account settings. Upon account closure, we will delete your personal information in accordance with our Privacy Policy.

Termination by Us

We may suspend or terminate your access to the Service at any time, with or without notice, if:

  1. you breach any provision of these Terms;
  2. we are required to do so by law;
  3. we reasonably believe your account has been compromised;
  4. your conduct poses a risk to other users, the integrity of the Service, or our reputation; or
  5. we discontinue the Service (in which case we will provide reasonable notice).

Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination will remain in effect, including Sections 6, 8, 12, 13, 14, 15, 17, 18, 20, and 21.

Dispute Resolution

If a dispute arises between you and ProAthletIQ in connection with these Terms or the Service, the parties agree to the following process:

  1. Informal resolution. You agree to first contact us at support@proathletiq.com.au and attempt to resolve the dispute informally for a minimum period of 30 days.
  2. Mediation. If the dispute is not resolved informally, either party may refer the matter to mediation administered by the Resolution Institute (or an equivalent body) in accordance with its mediation rules. The mediation will be conducted in Queensland, Australia, unless the parties agree otherwise.
  3. Litigation. If mediation is unsuccessful, either party may commence legal proceedings in the courts of Queensland, Australia, subject to Section 18.

Nothing in this section prevents either party from seeking urgent interlocutory or injunctive relief from a court of competent jurisdiction.

Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Queensland, Australia. You irrevocably submit to the non-exclusive jurisdiction of the courts of Queensland and the Federal Court of Australia, and any courts entitled to hear appeals from those courts.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

  • post the updated Terms on this page with a revised "Effective Date";
  • notify you via the email address associated with your account or through an in-app notification; and
  • provide at least 14 days' notice before the changes take effect.

Your continued use of the Service after the updated Terms take effect constitutes your acceptance of those changes. If you do not agree with the updated Terms, you should stop using the Service and close your account.

Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision will be severed from these Terms and the remaining provisions will continue in full force and effect. The severed provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements expressly referenced herein, constitute the entire agreement between you and ProAthletIQ regarding your use of the Service. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and ProAthletIQ with respect to the Service.

No waiver of any term or condition will be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms does not constitute a waiver of such right or provision.
